Terms of Use

1. Acceptance of Terms

By accessing or using CrestPoint AI (the "Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Platform. These terms apply to all users, including individual users and organizations accessing the Platform through a subscription.

2. Description of Service

CrestPoint AI provides intelligence and risk monitoring services, including entity risk scoring, sanctions monitoring, adverse media analysis, and related intelligence outputs. The Platform is provided as a software-as-a-service (SaaS) product operated by GDI Risk Advisory Group LLC ("GDI," "we," "us," or "our").

3. Intelligence Platform — Not Professional Advice

All information, signals, scores, alerts, analyses, and outputs provided by the Platform are for informational and intelligence purposes only. They do not constitute and should not be relied upon as investment advice, legal advice, financial advice, compliance advice, or any other form of professional advice.

CrestPoint AI is not a registered investment adviser, broker-dealer, law firm, or financial institution. GDI Risk Advisory Group LLC does not hold itself out as providing regulated advisory services through the Platform. You are solely responsible for any decisions made based on Platform outputs, and you should independently verify all information before acting on it.

4. Eligibility and Account Registration

You must be at least 18 years old and authorized to bind your organization to these terms to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

5. Subscription and Payment

Access to the Platform requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis as selected at checkout. All fees are processed through Stripe and are non-refundable except as described in Section 6. We reserve the right to modify pricing with 30 days' notice to active subscribers.

6. Refund Policy

All subscription fees are non-refundable except in the following circumstances: (a) you experience a material service outage lasting more than 72 consecutive hours that we fail to remediate; or (b) we determine in our sole discretion that a refund is warranted due to a billing error or exceptional circumstance. 7. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these terms. You may not: (a) use the Platform to harass, surveil, or harm any individual; (b) attempt to circumvent any security or access control; (c) reverse-engineer, scrape, or systematically extract Platform data; (d) resell or sublicense Platform access without written authorization; or (e) use the Platform in any manner that violates applicable law or regulation.

8. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these terms by reference. We maintain full audit logging, role-based access controls, and multi-tenant data isolation. See our Compliance & Audit Framework for full details.

9. Intellectual Property

The Platform, including its software, design, algorithms, risk models, and content, is owned by GDI Risk Advisory Group LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes during your subscription term. No other rights are granted.

10. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or that its outputs will be accurate, complete, or current. To the maximum extent permitted by law, GDI Risk Advisory Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or reliance on the Platform, including any decisions made based on Platform outputs.

Our total liability to you for any claim arising from these terms or your use of the Platform shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Termination

You may cancel your subscription at any time through your account settings. We reserve the right to suspend or terminate your access immediately if you violate these terms, engage in fraudulent activity, or if required by law. Upon termination, your right to access the Platform ceases and your data will be retained per our data retention policy before deletion.

12. Governing Law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any dispute arising from these terms shall be resolved by binding arbitration in Dallas, Texas, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to These Terms

We may update these terms from time to time. We will notify active subscribers of material changes by email or by requiring re-acknowledgment within the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the revised terms.
